Preamble
This agreement has been concluded between the two parties hereto for the purpose of forming a general partnership designated [ ---------] in ……. to sell the first party’s products . Hereby it is mutually agreed as follows :

1. the second party shall be the managing party in …… .
Mr. …………… shall held the post of the managing acting partner (general director) .
2. the representative of the first party, ……………. shall be designated as the financial officer.
3. an account in the name of the partnership shall be opened in one of the … banks under the signatures of the general director and the financial officer.
4. A budget ,and annual & final accounts shall be prepared in accordance with generally accepted accounting principles and shall be examined & audited periodically.
5. All the accounting operations shall follow an organized accounting system supported by the regular weekly and monthly reports and under the signatures of the general director & the financial officer .
6. The second party shall pay the employees’ salaries, the operating expenses ( rent payments for offices, warehouses….etc.), in addition to the air tickets & residence permits’ fees for the financial officer & marketing officer from the partnership’s account balance.
7. The net profits shall be divided evenly between the two parties, 50 % each , after setting aside the costs & expenditures.
8. Any real states bought in Yemen in the name of the partnership shall be deemed part of the partnership’s properties.
9. The first party shall send the consignments to the second party on time and in accordance with specifications, quality standards, requested quantity, and the order placed by the second party. The first party shall place priority on shipping consignments to the second party and shall be responsible for any delay of the consignments or if the consignments do not meet the requested specifications and standards of quality .
10. The first party shall have no right to open another general partnership or contracting with any other party in the country .
11. The first party has no right to export or sell its products in the country except through the formed partnership . In case selling takes place without the knowledge of the formed partnership, the first party shall pay a fine equal to 10% of the goods’ cost and this amount shall be deposited to the formed partnership’s account.
12. In case the second party consents to the first party’s selling of its products through another party , the formed partnership shall have 1% of the bill or credit’s value.
13. The first party shall have the right to open branches in Yemen after advising the second party.
14. The second party shall undertake customs clearance , paying the customs duties & port fees ,and collecting of the consignments. The first part shall contact the second party before shipping any consignment.
15. The second party shall undertake the marketing and distribution of the first party’s products.
16. The term of this agreement is ___________ beginning as of the date of being signed and is renewed based on the two parties’ wish hereof.
17. The two parties shall document this agreement and get it endorsed by the concerned official authorities .
18. This agreement has 18 terms. All terms and preamble form an integral part of this agreement.

This agreement is executed in duplicate, one copy per each party ,as of the date first written above .
